DISTANCE SALES AGREEMENT Last Updated: 03.06.2026 1. Parties This Distance Sales Agreement ("Agreement") has been established electronically between EMRE GEÇER ("Seller/Provider") and the customer ("Buyer") who purchases a consulting service through https://emregecer.com, pursuant to Article 48 of Turkish Consumer Protection Law No. 6502 and the Distance Contracts Regulation. Definitions • Platform: The domain https://emregecer.com and the associated web, panel, and session infrastructure • Service: A professional consulting session or package purchased through https://emregecer.com • Session: An online video meeting conducted via Daily.co (45–60 minutes) • Package: A multi-session purchase containing a specified number of sessions • Digital Content: Digital summaries, files, and recording access shared after a session • Access Period: The duration during which a session package remains valid in the Buyer's account (default 90 days) • Service Type: One of the following four areas (insa-et / koru / yonet / tibbi-danismanlik) 3. Subject of the Agreement The subject of this Agreement is the performance of the consulting session or package purchased electronically by the Buyer through https://emregecer.com, the provision of digital content access where applicable, and the determination of the rights and obligations of the parties. https://emregecer.com offers professional consulting in the following four service areas: • Strategic Building (insa-et) — Data, AI, digital architecture, pricing, process design • Risk Management and Protection (koru) — Regulatory compliance, financial structure, pre-tax-audit preparation, contracts/confidentiality • Manageable Systems (yonet) — Roles, process flow, career/competency, budget tracking • Medical Consulting (tibbi-danismanlik) — Finding simplification, specialist and diagnostic coordination, malpractice framework 4. Nature of the Service — Important Limitations The service sold on https://emregecer.com is **informational and structured consultation + expert coordination**. Specifically for the Medical Consulting area: • This is NOT a medical examination, diagnosis, or treatment. • No physician-patient relationship is established. • Professional opinion is provided within the framework of the Turkish Medical Association (TTB) Medical Professional Ethics Rules. • The decision on treatment belongs to the Buyer's own physician. • In emergency health situations, it is the Buyer's responsibility to call 112 and/or present to an authorized healthcare facility. For management/strategy areas (insa-et, koru, yonet): • This constitutes general consulting opinion; the authority to make specific commercial, financial, or legal decisions belongs to the Buyer. • It does not substitute for guidance from a lawyer, financial advisor, tax consultant, or other authorized professional. 5. Service Content Displayed on the order screen and in the Pre-Information Form: • Service Type (insa-et / koru / yonet / tibbi-danismanlik) • Package name and number of sessions • Total price (VAT included) • Payment method • Access period (default 90 days) 6. Payment, Invoice, and Performance of Service The Buyer pays the amount using the payment method selected during the order (credit/debit card via Stripe or Iyzico). Card transactions are processed by PCI DSS-certified payment providers; sensitive information such as card numbers and CVV is not stored on https://emregecer.com servers. After payment is confirmed: • The Buyer selects a suitable session date/time through the panel's appointment system. • The session link is automatically sent to the Buyer by e-mail before the session. • The session takes place on Daily.co at the specified date and time. Invoice: Sent electronically to the Buyer's e-mail address. If the payment fails, is cancelled in bank records, or the amount does not reach the Seller/Provider's account, no obligation to perform the service arises. 7. Pre-Information and Electronic Consent The Buyer acknowledges having been informed, prior to confirming the order, about the nature of the service, total price, payment method, performance conditions, right of withdrawal and its exceptions, through the Pre-Information Form (https://emregecer.com/on-bilgilendirme). The Agreement is deemed to have been established electronically when the Buyer clicks the order/confirmation button that clearly indicates a payment obligation is being incurred and checks the required consent boxes. 8. Right of Withdrawal and Its Exceptions The Buyer has the right of withdrawal within 14 days from the date of purchase, pursuant to Article 48 of Turkish Consumer Protection Law No. 6502. IMPORTANT EXCEPTIONS (Law No. 6502, Art. 48/4 and Regulation Art. 15): • Services that have commenced performance (Art. 15/c): The right of withdrawal expires AFTER the consulting session has BEGUN. • Digital content (Art. 15/h): The right of withdrawal cannot be exercised for digital content (recording access, etc.) that has been made accessible at the Buyer's explicit request and with the Buyer's consent to waive the right of withdrawal. Commercial Refund Policy Independent of the statutory right of withdrawal, the Seller/Provider may, within the scope of customer satisfaction, provide a compensatory session, partial refund, date change, or credit in certain situations (technical issues caused by the platform/provider, session cancelled by the provider, serious health-related excuse). These rights are detailed in the Cancellation, Withdrawal, and Refund Policy. 10. Intellectual and Industrial Property — Usage License Intellectual and industrial property rights in session content, shared digital materials (summary notes, files, recording access), blog posts, and the song catalogue belong to the Seller/Provider or the relevant copyright holders. The Buyer is granted only a personal, time-limited, non-transferable, non-exclusive, and non-commercial usage license. This license does not transfer the ownership or financial rights of the content. 11. Prohibited Uses • Unauthorized recording, copying, reproduction, or transfer of session recordings to third parties is prohibited. • The account, session link, or access link may not be shared with third parties. • Shared materials may not be used for school, course, in-house training, or group display purposes without obtaining prior written permission. • No competing consulting service, dataset, AI training data, or commercial product may be developed using the content. 12. Account, Device, and Security The Buyer is responsible for the security of the account and password. In the event of suspected unauthorized use, notification must be made immediately to info@emregecer.com. The platform may apply concurrent session, device count, or IP controls for security purposes. 13. Platform Maintenance and Downtime The Seller/Provider has the right to update and improve content, perform technical maintenance, and ensure platform security. Reasonable maintenance downtime is not considered a breach of contract. In the event of prolonged downtime caused by the Seller/Provider, appropriate compensation, extension of access period, or credit may be provided. 14. No Guarantee of Results The consulting service is intended for the development of knowledge and awareness. The Seller/Provider: • Makes no commitment regarding diagnosis, treatment success, or recovery in the medical field • Makes no commitment regarding income growth, career success, tax advantage, winning litigation, or specific commercial outcomes in the management/strategy field • Is not responsible for the legal, financial, or medical consequences of decisions made by the Buyer after the session 15. User Code of Conduct The Buyer is obligated to act in accordance with the law, general public morals, and the rules of https://emregecer.com during sessions and communication processes. In the event of insult, threat, harassment, discriminatory language, spam, or security violations, access may be suspended or the Agreement may be unilaterally terminated. 16. Personal Data and Health Data Personal data is processed within the scope of the purposes, legal bases, and retention periods specified in the KVKK Disclosure Notice (https://emregecer.com/gizlilik). For Medical Consulting sessions: Medical test results, files, and health information shared by the Buyer are considered "special category personal data" within the meaning of Article 6 of the KVKK. Separate explicit consent is obtained for such data; high security standards are applied for storage and transfer. 17. B2B (Corporate) Clients — Power of Attorney Agreement Option The koru/yonet/insa-et services purchased by corporate clients are not considered "consumer transactions" within the meaning of Turkish Consumer Protection Law No. 6502. In such cases, the provisions of agency/mandate agreement under Articles 502 et seq. of the Turkish Code of Obligations (TBK) shall apply; the rights and obligations of the parties shall be governed by the separately signed power of attorney agreement. 18. Force Majeure Natural disasters, war, epidemic, strike, internet infrastructure outage, cyberattack, payment system outage, governmental authority decision, and events beyond the reasonable control of the parties are considered force majeure. In the event of force majeure, the performance period may be reasonably extended or an appropriate compensation method may be applied. 19. Dispute Resolution In disputes: • For B2C (consumer) transactions: Consumer Arbitration Committees, Consumer Courts, and mandatory mediation provisions within the applicable monetary thresholds in force • For B2B (corporate) transactions: Istanbul Courts and Enforcement Offices have jurisdiction The parties agree to first seek resolution via info@emregecer.com. 20. Applicable Law This Agreement is governed by: • For consumers in Turkey: Laws of the Republic of Turkey (No. 6502, No. 6098, No. 6698, No. 6563, FSEK, No. 5651) • For users in the EU: GDPR + relevant EU legislation + national consumer law • For users in other countries: Laws of the Republic of Turkey 21. Entry into Force This Agreement enters into force on the date it is electronically confirmed by the Buyer and automatically expires at the end of the access period of the purchased session/package. Provisions relating to intellectual property, confidentiality, usage license, violations, and disputes remain in force beyond that period by their nature. 22.
